Terms of use for the CloudTeam Sales Hub platform

("Terms and Conditions", "Terms of Service")

Effective date: december 1, 2025.


§ 1 General provisions

  1. These Regulations set forth the rules for the use of the CloudTeam Sales Hub platform available at https://account.cloudteam.global (the "Platform", "Sales Hub"), including:

    1. establishment and operation of user and organization accounts,
    2. launching trial versions (trial),
    3. purchase and manage subscriptions to CloudTeam's SaaS products,
    4. implementation of prepaid offers,
    5. basic rules of billing and communication.
  2. The Regulations constitute an agreement concluded between:

    share capital: 854,000.00 PLN
    ("CloudTeam", "we")

    a

    an individual who creates or operates an account on the Platform on behalf of an organization ("User") and the organization (company, university, sole proprietorship or other entity) represented by him/her ("Organization", "Customer").

  3. The Platform is B2B in nature and is intended exclusively for entities operating in the course of business or professional activities (including sole proprietorships). The Regulations do not apply to consumers as defined by Polish law.

  4. Use of the Platform is conditional on acceptance of these Regulations in a "click-wrap" mechanism during account registration or when logging in for the first time after changes to the Regulations.

  5. A separate CloudTeam Sales Hub Privacy Policy document (Privacy Policy), available on the CloudTeam website, shall apply to the processing of personal data by the Platform.


§ 2 Definitions

For the purposes of the Terms and Conditions:

  1. Platform / Sales Hub - a web application athttps://account.cloudteam.global, used to register Organizations, manage accounts, subscriptions and offers of CloudTeam's SaaS products.

  2. Organization / Customer - an entity (including a sole proprietorship) for which the User creates an Organization account and/or purchases subscriptions.

  3. User - a natural person acting on behalf of the Organization on the Platform with a user account.

  4. SaaS products - cloud products offered by CloudTeam, sold and managed by Sales Hub (including Credentium, Examena, Erudis and other products in the catalog).

  5. Subscription - a paid or unpaid right to access a given SaaS Product in a specific plan (tier) and period.

  6. Trial - temporary, free trial access to a selected SaaS Product under the terms and conditions specified on the Platform and in the relevant product terms and conditions.

  7. Prepaid Offer - an offer including a prepaid subscription to one or more SaaS Products, which can be activated ("redeemed") to a designated Organization through the "Redeem Prepaid Offer" process.

  8. Product Terms andConditions / Product MSAs - separate contractual terms and conditions (e.g. Master Services Agreement) specific to a given SaaS Product, regulating in detail the terms of use of that product.


§ 3 Scope of Services of the Platform

  1. The Platform allows, in particular:

    1. registration and management of User accounts,
    2. registration and management of Organization data,
    3. activation of Trials for selected SaaS Products,
    4. purchase and review of Subscriptions (in various plans and periods),
    5. execution of Prepaid Offers,
    6. insight into basic billing information (invoices, payment statuses).
  2. The platform is a tool for managing subscriptions and the relationship with CloudTeam. The functionalities and rules of use of individual SaaS Products (e.g. Erudis, Examena, Credentium) are described in separate terms and conditions or agreements for these products.

  3. CloudTeam may expand or modify the catalog of supported products and features of the Platform in a manner consistent with these Regulations.


§ 4 Registration and user account

  1. In order to use the Platform, the User must create an account:

    1. by providing the required data (including name, surname, email address) and setting a password, or
    2. by logging in through identity providers (Google, Microsoft), if such an option is available.
  2. Activation of the account requires verification of the email address - by clicking on the link sent in the verification message. The verification link may have limited validity.

  3. The user is required to:

    1. provide true, current and complete data,
    2. to keep your password confidential, and not to share your account with others,
    3. immediately notify CloudTeam of any suspected unauthorized use of your account or breach of security.
  4. The email address used to create anaccount may be a login IDand, as a rule, is not subject to change after registration (due to its association with subscription and invoice history).

  5. CloudTeam may block or restrict access to the User's account in case of:

    1. violation of the Terms and Conditions,
    2. reasonable suspicion of security abuse,
    3. issuance of such an order by an authorized authority.

§ 5 Organizations, roles and rights

  1. On the Platform, the User may:

    1. create a new Organization,
    2. join an existing Organization (at the invitation of an authorized User).
  2. When establishing an Organization, it is required to provide basic data: name, legal form, Tax ID/Tax ID, registered office address and other data required for settlements (according to the current form on the Platform).

  3. CloudTeam may verify the Organization's data (including the VAT number in the VIES system in the case of organizations from the EU).

  4. CloudTeam defines on the Platform the roles of the Organization's users (e.g. ORG_OWNER, ORG_BILLING_ADMIN, ORG_USER) along with the corresponding rights. The scope of rights may be described in the Platform Documentation.

  5. Only Users with the appropriate permissions (ORG_OWNER, ORG_BILLING_ADMIN or equivalent) may:

    1. accept contracts and regulations (including Product MSAs) on behalf of the Organization,
    2. activate Trial,
    3. purchase Subscriptions,
    4. redeem Prepaid Offers.
  6. By accepting the relevant checkboxes (declaration of authority), the User declares that he/she has the authority to act on behalf of the Organization. CloudTeam is entitled to rely on this declaration.


§ 6 Trial (trial versions)

  1. The Platform may provide the opportunity to run Trials of selected SaaS Products. Detailed terms and conditions (duration, available features, limitations, if any) are indicated in the interface of the Platform and/or in the terms and conditions of the relevant products. contentReference[oaicite:1]{index=1}

  2. Trial is temporary and free of charge. CloudTeam:

    1. may limit the functionality of the product during the Trial period,
    2. is not obliged to maintain the Trial after the expiration of the Trial period,
    3. may refuse to launch Trial (e.g., in case of suspected abuse).
  3. After the expiration of the Trial period:

    1. access to the respective SaaS Product expires, unless the Customer concludes a paid Subscription,
    2. trial data may be deleted in accordance with the rules of the respective Product and Privacy Policy.
  4. Trial does not guarantee a paid contract for a given SaaS Product. CloudTeam may refuse to accept an order for a Subscription if there are legitimate reasons to do so (e.g. violation of the Terms of Service, risk of abuse).


§ 7 Subscriptions for SaaS Products

  1. Through the Platform, the Customer may purchase Subscriptions to SaaS products available in the current catalog (including Credentium, Examena, Erudis).

  2. The terms of each Subscription (product, plan, number of users, period, price, currency) are presented:

    1. in the interface of the Platform, and
    2. in the corresponding Order Form and/or Product MSA.
  3. Before purchasing a Subscription, the Platform may require:

    1. acceptance of these Terms and Conditions,
    2. acceptance of the terms and conditions of the relevant product (Product MSA),
    3. acceptance of the DPA (if required),
    4. confirmation of the Organization's data (including VAT/NIP, address).
  4. The Subscription Agreement for a given SaaS Product is concluded:

    1. upon proper placement of the order by the Platform and its acceptance by CloudTeam (if the product requires acceptance), or
    2. according to another mechanism specified in the terms and conditions of a given product.
  5. Detailed rules:

    1. billing (billing periods, rates, currencies),
    2. liability,
    3. SLA
      - are set forth in the regulations of the relevant products (Product MSAs), and these Regulations do not replace them.

§ 8 Prepaid offers and their realization

  1. The Platform allows the execution (redeem) of Prepaid Offers, i.e. prepaid subscriptions to SaaS products.

  2. Detailed parameters of Prepaid Offers (e.g. product, plan, period, limitations, if any) are presented in the interface of the Platform or in a separate document associated with the offer.

  3. Execution of the Prepaid Offer requires:

    1. logging in a User with the appropriate privileges (e.g. ORG_OWNER / ORG_BILLING_ADMIN),
    2. assignment of the Prepaid Offer to the appropriate Organization (existing or newly created),
    3. submission of statements of authority to act on behalf of the Organization,
    4. acceptance of the relevant documents (Terms and Conditions, Privacy Policy, Product MSAs, DPAs, special offer terms, if any).
  4. Prepaid offer may be:

    1. time-limited (the period during which it can be redeemed),
    2. limited as to the number of redemptions,
    3. assigned to a specific product and plan.
  5. One Organization may redeem a given Prepaid Offer only to the extent permitted by the terms of the offer (e.g., not more than once).

  6. A subscription activated under a Prepaid Offer is valid for the period assigned to that offer. Who bears the costs (e.g., a third-party sponsor) results from separate arrangements between CloudTeam and the sponsor and does not affect the scope of the Customer's rights and obligations to CloudTeam as a user of the product.


§ 9 Billing and payment data

  1. Currently, purchases made through the Platform are primarily billed on the basis ofinvoices (including pro forma invoices, if any). CloudTeam may in the future add integration with third-party payment operators (e.g., card payments, BLIK, pay-by-link) - then the relevant information will be added to the documentation and/or product terms and conditions.

  2. The Client is obliged to provide correct invoice data (name, address, Tax ID/VAT ID). CloudTeam may verify the Organization's data (e.g. in the VIES database) and reject the order in case of obvious inconsistency of data.

  3. Payment terms, rules for accrual of interest, suspension of services due to non-payment, and refund rules result from:

    1. regulations of the product in question (Product MSA), and
    2. provisions of generally applicable law.

§ 10 Rules of use of the Platform (AUP)

  1. The User and the Customer are obliged to use the Platform in accordance with:

    1. these Regulations,
    2. the provisions of the law,
    3. good morals and principles of social coexistence.
  2. In particular, it is prohibited to:

    1. posting content on the Platform or in related communications that is contrary to the law (e.g., violating copyrights, personal rights, containing hate speech, incitement to violence),
    2. making attempts to gain unauthorized access to other users' data or to CloudTeam's systems,
    3. making attempts to circumvent technical or business restrictions,
    4. using the Platform in a way that may violate the security of the system (e.g. penetration testing without CloudTeam's prior written consent),
    5. sharing your account with others or using someone else's account without authorization,
    6. providing false or misleading data to the Organization.
  3. If a violation of the above rules is found, CloudTeam may:

    1. call on the Client to remove the violations,
    2. temporarily block the User's account or the Organization's access to the Platform,
    3. refuse to activate or extend the Subscription,
    4. in cases of flagrant violations - terminate the agreement with the Client in the part concerning the use of the Platform, with retention of the right to remuneration for the services provided so far.

§ 11 Availability and changes to the Platform

  1. CloudTeam strives to ensure the highest possible availability of the Platform, but does not guarantee its uninterrupted and error-free operation. Detailed availability parameters may result from separate agreements with the Client.

  2. CloudTeam is entitled to:

    1. perform service and maintenance works,
    2. modify the functionality of the Platform (including the interface, processes), as long as it does not significantly infringe on the Client's acquired rights with respect to the concluded Product Subscriptions.
  3. CloudTeam will inform in advance, if possible (e.g. with a message on the Platform), about planned technical interruptions that may cause a significant disruption in the availability of the Platform.


§ 12 Intellectual Property

  1. All intellectual property rights to the Platform (including software, interface, layout, name, logo) belong to CloudTeam or its licensors.

  2. The User and the Customer obtain a non-exclusive, non-transferable right to use the Platform only to the extent necessary to manage subscriptions to CloudTeam products in accordance with these Terms and Conditions.

  3. In particular, it is prohibited to:

    1. decompiling, reverse engineering, modifying the source code of the Platform (except as expressly permitted by mandatory provisions of law),
    2. removing intellectual property markings from the interface,
    3. using the Platform to create competing services.

§ 13 Responsibility

  1. The Sales Hub Platform is primarily used to manage subscriptions. It does not in itself provide SaaS product functionality (e.g., exam or micro-certification functions), which are governed by separate product agreements.

  2. CloudTeam is responsible for the proper operation of the Platform with due diligence appropriate for a professional SaaS provider. However, it is not responsible for:

    1. irregularities resulting from incorrect or outdated data provided by the User or Client,
    2. the consequences of the actions or omissions of third parties for which it is not responsible (e.g., infrastructure providers, e-mail), provided that it exercised due diligence in selecting them.
  3. To the extent permitted by law:

    1. CloudTeam shall not be liable for lost profits, indirect and consequential damages,
    2. cloudTeam's total liability to the Client for the use of the Platform shall be limited - with respect to a given event - to the total amount of remuneration paid by the Client to CloudTeam in connection with subscriptions purchased through the Platform during the 12 months preceding such event; this limitation shall not apply to damages caused intentionally.
  4. The provisions of this paragraph do not limit CloudTeam's liability to the extent that the limitation would be contrary to mandatory provisions of law.


§ 14 Termination of the agreement and account deletion

  1. The Customer may stop using the Platform at any time and request the deletion of the Organization's account and related User accounts by contacting CloudTeam (e.g. via support@cloudteam.pl or any other channel indicated on the Platform).

  2. CloudTeam may terminate the agreement for use of the Platform (Terms and Conditions) with immediate effect if the Client:

    1. blatantly violates the provisions of the Terms and Conditions,
    2. uses the Platform in an illegal manner or in a way that threatens the safety of other users.
  3. Termination of the agreement regarding the use of the Platform does not automatically terminate agreements regarding individual products (Subscriptions), unless the regulations of these products state otherwise.

  4. After deletion of the account or termination of the contract, personal data and data on Subscriptions are stored and deleted in accordance with the Privacy Policy and applicable laws (in particular, with regard to the storage of accounting documents and evidence of contracts).


§ 15 Changes to the Terms and Conditions

  1. CloudTeam may amend these Regulations for the following reasons:

    1. changes to the functionality of the Platform or the manner of providing services,
    2. changes of legal regulations or guidelines of supervisory bodies,
    3. the need to clarify the provisions or remove possible gaps.
  2. CloudTeam will inform Users about the changes to the Regulations within a reasonable time before the changes take effect, in particular by:

    1. publication of the new version on the Platform website,
    2. a message in the interface of the Platform,
    3. e-mail sent to the address associated with the account (if reasonable).
  3. Continued use of the Platform after the effective date of the changes may be considered acceptance of the new version of the Terms and Conditions, provided that this is not opposed by mandatory applicable law.


§ 16 Governing Law and Disputes

  1. Polish law shall apply to the Terms and Conditions and to the agreement concluded on its basis.

  2. Any disputes arising out of the Regulations or related to the use of the Platform will be settled by a common court with jurisdiction over the seat of CloudTeam, subject to mandatory provisions of law.
